Enify Terms of Use

  1. Introduction

These Terms of Use outline the specific rights and responsibilities of individual users ("Users") who have been granted i) access to the Software Products through a separate entity that is party to a Subscription Agreement for Enify with Epsis; or ii) temporary access to the Software Products for evaluation and marketing purposes, without the need for a separate subscription ("Trial Use").  

 

All capitalized terms used in the Terms of Use shall have the meanings ascribed to them in the Subscription Agreement. As a User, you must accept the Terms of Use as a prerequisite for accessing the Subscription Services. 2. Right of access and use 

 

Epsis grants the User a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Software Products in accordance with these Terms of Use solely for the Subscriber’s internal business operations.  

 

3. Restrictions

Authorized Users must adhere to the following requirements when using the Subscription Services: 

a, Users must not upload or share any content that is illegal, harmful, offensive, or discriminatory.  

b, Users must not introduce viruses, attempt to compromise the security of or exploit any vulnerabilities in the Subscription Services, initiate or participate in any form of attack (including but not limited to Distributed Denial of Service (DDoS) attacks) on the Subscription Services.  

c, Users must not attempt to access or use the Subscription Services beyond their authorized permissions.  

d, Users must not attempt to modify, copy, or distribute the Software Products or any related documentation. 

e, Users must not use the Subscription Services to develop or promote competing products or services.  

f, Users must not share their access credentials or allow unauthorized third parties to use the Subscription Services.  

Epsis reserves the right to suspend or terminate access for any User who violates these Terms of Use.  

 

Each User is solely responsible for the legality, reliability, integrity, accuracy and quality of all data which it inputs (or its inputted on its behalf) on or through the Subscription Services. 

 

3. Intellectual Property Rights

The User acknowledges and agrees that Epsis, its affiliates and/or their respective licensors own all intellectual property in the Software Products. Except as expressly stated herein, the Terms of Use does not grant any User any rights to, under or in any intellectual property in respect of the Software Products. 

 

The User hereby grants to Epsis and its affiliates an irrevocable, perpetual and royalty-free licence to use in any future development of the Software Products any Intellectual Property contained within feedback, suggestions and ideas communicated by such User to Epsis (whether directly or indirectly) in relation to the Software Products and its future development. 

 

4. Trial Use

For any access to the Software Products for Trial Use, the following additional conditions shall apply: 

  1. Epsis' Subscription Agreement as referred to in clause 1 above shall apply to the Trial User to the extent it is relevant and applicable to the Trial use context. For the purposes of these Terms of Use, the Trial User shall be regarded as a Subscriber, and the terms of the Enify Subscription Agreement shall apply correspondingly, except where explicitly modified by this Agreement. 
  1. Irrespective of the terms set out in Epsis' Subscription Agreement, Epsis shall have no liability to the User for any damages arising out of or in connection with the Trial Use of the Software Products, whether based on tort, indemnity or otherwise. The Trial User acknowledges that the Software Products are provided "as-is" for trial purposes, and Epsis makes no warranties, express or implied, regarding their performance or suitability. 
  1. Any Trial Use may be terminated by either party with one week's notice. Upon termination, the Trial User shall cease all use of the Software Products and delete any copies in its possession. 

 

4. Governing law and jurisdiction

These Terms of Use shall be governed by and construed in accordance with Norwegian law, with Bergen District Court (Bergen tingrett) as the legal venue.
